Media Center allows you to view and record TV, pictures and music through an interface known as the 10-foot UI, suitable for viewing on a TV.
Domain join is used mainly in corporate environments. You join workstations to a domain so they can be centrally managed and so they can take advantage of a common directory for authentication and authorization.

If you buy MCE 2005 from newegg, they send you MCE 2005 in the mail. In the box with MCE 2005, is a coupon that you use to register at an MS Web site. When you register at the site, you enter information about your MCE 2005 purchase, and the site tells you that you qualify for Windows Vista Premium. You pay $12.99 for shipping, and they tell you that you should receive your copy of Vista sometime around the end of January 2007.

Did you READ the link that guy posted? It answers your questions about the upgrade. Well, not quite all….the "nominal cost" is $10 for shipping if you are upgrading from XP Pro to Vista Business or XP Media Center Edition to Vista Home Premium. The upgrades come directly from Microsoft.

They are sending a fair portion of the Vista beta testers (including me) a free copy of Vista Ultimate. After acquiring the company that made Virtual PC, they released free versions. Many of the products that tie into Windows (Windows Media Player, Powertoys, Internet Explorer) are free. I could go on.
The others have it correct, the coupon is for a free (you pay shipping) upgrade to Vista.

Re:Well, this is what Newegg (http://promotions.newegg.com/microsoft/vista/TechGuarn.html) says. If you buy MCE, you get a FREE UPGRADE to Vista Home Premium and only have to pay for S&H (which they estimate at ~$20+). Sounds good to me – the ad speaks for itself.
Edit: haven't heard of any such deals for the Ultimate version.
